There is no question an effective Board is an essential factor of any successful independent school. But what happens when the Head has just fired the head football coach who wins titles and gets kids college scholarships? The parent community is in an uproar, demanding that the Board intervene and bring the coach back? Or, several trustees receive a letter from a person claiming to be a former student alleging sexual abuse by an administrator 20 years ago. Or, the advancement director, who has the ear of several trustees involved in fundraising, provides regular updates on the Head’s mismanagement, resulting in those trustees expressing a loss of confidence in the Head to the Chair. What is the Board’s role in these types of crises and other serious issues? Where are the lines drawn? How does the Board square fiduciary responsibility with overstepping into operational matters? Have the lines changed over the years? Should they?

Suzanne K. Bogdan
, Regional Managing Partner, Fisher & Phillips, LLP, Attorneys at Law. Suzanne is the managing partner in the Fort Lauderdale office. She handles all types of employment-related matters, including claims for age, race, sex, disability, religious, and national origin discrimination arising under the various civil rights laws, as well as claims involving family leave issues, wage hour matters, and breach of contract.
Suzanne's practice includes preventive counseling, training, audits, policy reviews, drafting of contracts, defense of claims in the administrative setting, and litigation in all courts. Suzanne Chairs the firm's Education Practice Group, actively representing more than 100 private educational institutions in employee, student, and board issues, and works with many of the accrediting agencies and school associations, including the National Association of Independent Schools and the Florida Council of Independent Schools. She is a frequent presenter to both educational and corporate associations on all aspects of employment law and risk management in the employment context. She was recognized as a South Florida Top Lawyer by South Florida Legal Guide, was selected for inclusion in The Best Lawyers in America 2013, 2014 and 2016 and was included in the 2012 edition of South Florida's Top Rated Lawyers, presented by Legal Leaders. She was also selected for inclusion in The Legal 500 – Litigation in 2015.
Susan M. Guerette
, Partner, Fisher & Phillips, LLP, Attorneys at Law. Susan is a partner in the Philadelphia office. She has a national practice representing management in a variety of industries on a wide range of labor and employment matters including defending claims of discrimination based on race, gender, age, disability, and national origin.
Susan is a member of the firm's Education Practice Group, which represents private educational institutions in employee, student, and board issues, and counsels employers on employment policies, immigration issues and compliance with local, state and federal statutes. She drafts and reviews employer policies and severance agreements and negotiates employee compensation and employment agreements. In addition to her litigation practice, Susan helps clients develop and implement coordinated programs to protect against employee defection, and to minimize the risks that arise when hiring employees from competitors.
